Human Resources & Remuneration Committee Terms of Reference

1. To make recommendations to the Board on staffing, remuneration and employment policies and strategies including salary structure, terms and conditions of employment, and the Variable Compensation Scheme.
2. To make recommendations to the Board on the appointment of executive directors.
3. To make recommendations to the Board on the annual pay adjustment.
4. To make recommendations to the Board on the corporate goals and performance targets for each financial year and to make recommendations to the Board on the amount of Variable Compensation payable based on assessment on actual performance against the corporate goals and performance targets.
5. To make recommendations to the Board on the remuneration of the Chief Executive Officer and executive directors.
6. To oversee senior management succession planning.
